1. Agreement and eligibility
These Terms govern your use of GridCite’s website, applications, maps, site-screening tools, reports, account features, and related services (the “Service”). By accessing or using the Service, you agree to these Terms and the Privacy Notice. If you use the Service for an organization, you represent that you may bind that organization.
You must be legally able to enter into this agreement. The Service is intended for business and professional use; it is not directed to children.
2. What the Service does — and does not do
GridCite provides preliminary GIS-based land and site intelligence. Results may combine public-source, licensed, user-supplied, derived, estimated, synthetic, provisional, unavailable, and unknown information.
The Service is not a survey; title, ownership, boundary, easement, zoning, environmental, wetlands, floodplain, utility-capacity, interconnection, transmission, engineering, grading, tax, appraisal, legal, permitting, entitlement, or investment determination. A displayed score, map layer, distance, availability indicator, or “qualified” result is not a representation that a project is feasible, permitted, financeable, available for lease or purchase, interconnected, or free of constraints.
You are responsible for independent diligence and for engaging appropriately qualified surveyors, engineers, utilities, title professionals, environmental consultants, land-use professionals, and legal counsel before relying on any result.
3. Accounts and security
You must provide accurate account information and protect access to your email account and any account session. Promptly notify us at hello@gridcite.com if you believe your account has been accessed without authorization.
We may suspend or protect an account where reasonably necessary to investigate abuse, protect the Service, comply with law, or prevent unpaid use.
4. Acceptable use
You may use the Service only for lawful internal business purposes and in accordance with these Terms. You may not:
- circumvent plan, export, authentication, rate-limit, or access controls;
- scrape, crawl, harvest, bulk-download, reverse engineer, or create a competing dataset or service from the Service except where we expressly authorize it in writing;
- use the Service to make discriminatory, unlawful, deceptive, or high-stakes automated decisions about individuals;
- misrepresent GIS screening as a survey, official record, or professional determination;
- introduce malware, interfere with the Service, or attempt unauthorized access; or
- resell, sublicense, publish, or redistribute Service content except as expressly permitted by your plan or a written agreement.
5. Data, third-party sources, and ownership
You retain rights in information you submit to the Service. You grant VGG Systems Corp (d/b/a GridCite) a limited right to host, process, and use that information to operate, secure, support, and improve the Service as described in the Privacy Notice.
GridCite and its licensors retain all rights in the Service, including software, presentation, derived scores, documentation, and compiled data. Third-party and public-source data remain subject to their applicable licenses, source limitations, and jurisdictional restrictions. You must comply with those restrictions and may not assume that a publicly available source allows redistribution.
6. Paid plans, billing, cancellation, and refunds
Paid plan terms, price, taxes, and billing interval are shown at checkout or in an applicable order form. Payments are processed by Stripe or another disclosed payment processor; GridCite does not receive your full payment-card number.
Subscriptions do not renew automatically. A paid term ends on its end date; continued access requires a new purchase. You may manage an eligible subscription through the customer portal or by contacting hello@gridcite.com. Because subscriptions do not auto-renew, no cancellation is needed to prevent a renewal charge; ending a subscription early does not shorten the paid term you already purchased, and access continues through the end of that paid period.
Refunds are governed by the Refund and Cancellation Policy. Nothing in these Terms limits a non-waivable right under applicable law.
7. Referrals and promotional discounts
We may offer a referral programme that gives a new customer a discount on their first paid subscription when they sign up through a link shared by an existing customer. Where we do:
Who gets the discount. The discount goes to the person who signs up through the link, not to the person who shared it. Sharing a link earns no payment, commission, credit, or other compensation. A referral is recorded only when the link creates a new account; someone who already had an account is not a referral, and no discount applies to them.
How many, and how often. Each account may bring in a limited number of new customers, currently two. Each new customer may receive one referral discount, once, applied to a first paid subscription. Discounts are not combinable with other offers, have no cash value, cannot be transferred, exchanged, or resold, and cannot be applied to a purchase already made.
The discount is applied at checkout. It must be recorded before you buy. We cannot apply it retroactively to a completed purchase, and a checkout you start and abandon may still consume it — write to hello@gridcite.com if that happens and we will put it right.
You are not our agent. Sharing a link does not make you a representative, agent, partner, employee, or reseller of GridCite, and does not authorize you to make any statement, promise, or commitment on our behalf. You are responsible for your own compliance with marketing, calling, and anti-spam laws when you share a link. Do not distribute referral links by unsolicited bulk email, automated posting, paid search on our name or brand, or any other method a reasonable person would call spam.
Abuse. We may withhold or reverse a discount, cancel invitations, and end participation where we reasonably believe the programme has been misused — including referring yourself, creating accounts in order to claim discounts, using multiple addresses to represent one person or organization, or distributing links in the ways described above. Where a discount was obtained through misuse, we may charge the difference between the discounted and the standard price, or end the subscription and refund it under the Refund and Cancellation Policy, at our election.
Changes. We may change the discount amount, the number of invitations, or the eligibility rules, or withdraw the programme entirely, at any time. A discount already applied to a completed purchase is not affected by a later change.
Taxes. Any tax consequence of a discount is yours. We do not give tax advice.
8. Confidentiality
Each party may receive non-public business, account, pricing, or technical information from the other. The receiving party will use that information only to perform under these Terms and protect it with reasonable care. This section does not apply to information that is public without breach, independently developed, rightfully received from another source, or required to be disclosed by law (subject to lawful notice where practicable).
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VGG Systems Corp (d/b/a GridCite) DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND NONINTERRUPTION.
We do not warrant that source data is current, complete, accurate, authorized for every use, available in every county, or suitable for a specific project. Unknown, missing, stale, redacted, or unavailable information must not be treated as favorable information.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VGG Systems Corp (d/b/a GridCite) AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR PROJECT OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE.
Our aggregate liability arising from or related to the Service is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the liability, or one hundred U.S. dollars ($100) if no fee was paid. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent permitted by law.
11. Indemnity
To the extent permitted by law, you will defend and indemnify VGG Systems Corp (d/b/a GridCite) against third-party claims arising from your unlawful use of the Service, your violation of these Terms, or your use or redistribution of data in violation of applicable rights or source restrictions.
12. Changes, suspension, and termination
We may change the Service or these Terms. For material changes, we will provide notice by posting an updated effective date and, where legally required, by additional notice. Continued use after the effective date means you accept the updated Terms.
Either party may stop using the Service at any time, subject to any paid-plan commitment. We may suspend or terminate access for material breach, security risk, legal compliance, or nonpayment. Sections that should survive by their nature, including intellectual-property, disclaimer, limitation-of-liability, and dispute provisions, survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Before either party files a claim, that party will first attempt to resolve the dispute informally by writing to hello@gridcite.com and allowing thirty (30) days for a response.
If the dispute is not resolved informally, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and both parties consent to that jurisdiction and venue.
These Terms contain no arbitration clause and no class-action waiver. Nothing here prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property.
